2. Services Description

PowerDev provides Power Platform consulting services, including but not limited to:

• Custom PowerApps development
• Power Automate workflow automation
• Power BI dashboard creation
• SharePoint solutions
• Integration and consulting services

3. User Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services in compliance with all applicable laws
• Not misuse or abuse our services
• Not attempt to gain unauthorized access to our systems

4. Intellectual Property

All content, designs, code, and materials provided by PowerDev remain our intellectual property unless explicitly transferred through a written agreement. Custom solutions developed for clients will be governed by individual project contracts.

5. Service Agreements

Specific project terms, deliverables, timelines, and payment terms will be outlined in individual Service Agreements or Statements of Work (SOW). These documents take precedence over these general Terms of Service for contracted projects.

6. Payment Terms

• Payment terms will be specified in project agreements
• Invoices are typically due within 30 days of issuance
• Late payments may incur additional fees
• Projects may be paused for non-payment

7. Confidentiality

We respect the confidentiality of client information and projects. Both parties agree to maintain confidentiality of sensitive information shared during the course of our business relationship.

8. Limitation of Liability

PowerDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for the specific service in question.

9. Warranties and Disclaimers

While we strive for excellence, our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted or error-free.

10. Termination

Either party may terminate services in accordance with the terms outlined in individual project agreements. Upon termination, payment for work completed up to that point will be due.

11. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Continued use of our services after changes constitutes acceptance of the modified terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PowerDev operates, without regard to its conflict of law provisions.
